Welcome to Notch Pay, the online payment platform committed to providing transparent and efficient services to merchants. Before exploring our platform, please read carefully the following terms of use, which govern your use as a merchant.

1. Definitions

  • "Notch Pay" refers to the company operating the Services.
  • "Merchant" refers to any natural or legal person who uses the Services to sell goods or services.
  • "Buyer" refers to any natural or legal person who uses the Services to purchase goods or services from the Merchant.
  • "Merchant Account" refers to the Merchant's online account used to access and use the Services.

2. Acceptance of Terms

By becoming a merchant on Notch Pay, you fully and unconditionally accept these terms of use.

3. Eligibility

The use of Notch Pay as a merchant is reserved for natural persons aged 18 and over, residing in French-speaking Africa. Merchants can choose to register individually or as part of a team (with a maximum of 7 members per team).

4. Registration

All merchants must register on the official Notch Pay website. The information provided during registration must be complete and accurate, ensuring a smooth integration process into our platform. We may request additional documents for verification.

5. Intellectual Property

We recognize the importance of intellectual property. Merchants retain the rights to their submissions, while granting Notch Pay the right to use and distribute their projects for promotional purposes only.

The Merchant acknowledges that Notch Pay owns all intellectual property rights associated with the Services. The Merchant may only use the Services for its business needs and may not reproduce, modify, distribute, or exploit them in any way without the prior written consent of Notch Pay.

6. Prohibited Activities/Services

Notch Pay prohibits its users and/or partners from engaging in certain activities, such as violating its terms of service, terms of services of our partners or any other agreement between you and Notch Pay, violating any law, order or regulation.

7. Merchant's responsibilities

As a merchant, you are responsible for managing your account and all related transactions. This includes accurately updating information, managing the products or services offered, and complying with all local laws and regulations. You agree to use our services in accordance with all such laws and regulations.

8. Transaction processing

Transactions carried out via Notch Pay are subject to charges which will be clearly indicated.

  1. Combined fees: Combined fees can be applied to cover the costs associated with transaction processing. This transparent approach enables merchants to clearly understand the costs associated with their activities.
  2. Payment Authorization Requests: Merchants can initiate payment authorization requests to ensure a secure transaction process.
  3. Settlement Funds: Funds to be settled after a transaction has been processed will be held in accordance with our policies.
  4. Settlement Funds for a Specific Transaction: Funds relating to a specific transaction will be held during the settlement period, providing clear visibility of cash flows.
  5. Settlement Fees : Settlement fees may be applied to cover the costs associated with managing settlements.
  6. Transfer of Funds to Third-Party Beneficiaries: Merchants can specify third-party beneficiaries for the transfer of funds, with efficient management according to their instructions.
  7. Customer Authorizations: Customer authorization may be required for certain transactions, enhancing transaction security.

9. Payment methods

Payment methods You can accept payments with all payment methods available on Notch Pay, including credit card payments, PayPal, MTN Mobile Money, Orange Money, etc. We reserve the right to disable a payment method for any or all merchants. 12. Post-termination obligations

Following termination of the merchant account, post termination obligations may apply, including finalization of all outstanding transactions, provision of payment account details and recovery of negative balance.

13. User information updates

You are responsible for keeping user and customer information up to date, ensuring a seamless customer experience.

14. Declaration and warranties

By using Notch Pay, you are making representations and warranties about the legitimacy of your business and the quality of your products or services.

15. Financial liability

As a merchant, you are responsible for all activities related to your account, including fees associated with transactions, disputes and refunds.

16. Liability for failure to transfer funds

Notch Pay cannot be held responsible for delays or failures in the transfer of funds due to circumstances beyond our control.

17. Complaints and disputes

  1. User complaints will be handled in accordance with our established procedures to ensure a fair resolution.
  2. In the event of a dispute with a customer, you agree to cooperate with Notch Pay to resolve the situation in a fair and professional manner. We will intervene in unresolved disputes within a reasonable period of time.
  3. You agree to indemnify Notch Pay against any liability arising from your activities as a merchant.

18. Privacy & Security

You are responsible for the security of your account and customer information stored on our platform. Although Notch Pay takes measures to ensure confidentiality, we cannot guarantee absolute security.

19. Termination of Merchant Account

Notch Pay reserves the right to terminate a merchant's account in the event of violation of these terms of use, fraudulent activity or prolonged inactivity.

20. Additional conditions

Depending on the circumstances, specific conditions may apply, such as reserves, security interest and credit support requirements. These conditions are designed to ensure a smooth and secure experience for merchants.

21 Changes to the Terms

We reserve the right to update these Terms of Use at any time. Merchants will be notified of any changes, and their continued use will signify acceptance of the new terms.

22. Applicable law

These terms of use are governed by the laws in force in all countries where Notch Pay is available. Any dispute arising from these conditions shall be submitted to the exclusive jurisdiction of the competent courts of the said countries.
